I tried to use the pocket soap sample from codeexchange but i got as far as
retun -3 from PocketSoap_Create.

I just copied the PKSoapIF.dll to my device window directory (later tried
same dir as the app); is there other installation steps? I am usin hp iPAQ
5400 device.

Anyone can help?!

The "pocket soap" package (by Simon Fell) must be installed.
That includes all the transport layers and such.
